Welcome to Consono. These Terms and Conditions ("Terms") govern your relationship with the consono.ai website and related services (the "Service") operated by Consono ("us", "we", or "our").

Please read these Terms carefully before using our Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Service.

1. Acceptance of Terms

By accessing and using this Service, you accept and agree to be bound by these Terms. In addition, when using this Service, you shall be subject to any posted guidelines or rules applicable to such services.

If you do not agree to these Terms, you must not use the Service. We reserve the right to modify these Terms in accordance with Section 15 below.

2. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for:

  • Safeguarding the password that you use to access the Service
  • Any activities or actions under your password
  • Maintaining the security and confidentiality of your account

You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

3. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Consono and its licensors. The Service is protected by copyright, trademark, and other laws of Belgium, the European Union, and applicable international conventions.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Consono.

All rights reserved. Nothing in these Terms constitutes a transfer of any intellectual property rights from us to you.

4. User Content and Conduct

Our Service may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.

4.1 Licence to User Content

By posting Content to the Service, you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, publicly display, and distribute such Content solely for the purpose of operating and providing the Service. This licence is limited to what is strictly necessary for the functioning of the Service and does not grant us the right to sell or otherwise commercially exploit your Content outside the scope of the Service.

You retain all of your rights to any Content you submit, post, or display on or through the Service and you are responsible for protecting those rights.

4.2 Personal Data in User Content

Where your Content contains personal data (as defined under Regulation (EU) 2016/679, the "GDPR"), such data will be processed in accordance with our Privacy Policy and applicable data protection legislation. We will only process personal data contained in your Content to the extent necessary for providing the Service and on the legal bases set out in our Privacy Policy.

4.3 Representations and Warranties

You represent and warrant that:

  • The Content is yours (you own it) or you have the right to use it and grant us the licence as provided in these Terms
  • The posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person
  • Where your Content contains personal data of third parties, you have obtained all necessary consents or have another valid legal basis under the GDPR for sharing that data with us
5. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates any applicable national, European Union, or international law or regulation
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including unsolicited commercial communications in breach of the Belgian Code of Economic Law or the ePrivacy Directive
  • To impersonate or attempt to impersonate Consono, a Consono employee, another user, or any other person or entity
  • In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • To attempt to gain unauthorised access to, interfere with, damage, or disrupt any parts of the Service
  • To introduce any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material
  • To use any robot, spider, or other automatic device, process, or means to access the Service for any purpose without our prior written consent
  • To use the Service in any manner that could disable, overburden, damage, or impair the Service
  • To process personal data through the Service in violation of the GDPR or any other applicable data protection law
6. Service Availability

We strive to provide a reliable and uninterrupted Service. However, we do not guarantee that the Service will be available at all times or that it will be free from errors, viruses, or other harmful components.

We reserve the right to withdraw or amend the Service, and any service or material we provide on the Service, in our sole discretion with reasonable notice where practicable. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period, except where such liability cannot be excluded under applicable law.

From time to time, we may restrict access to some parts of the Service, or the entire Service, to users, including registered users, for maintenance or other operational reasons.

7. Cookies and Tracking Technologies

Our Service may use cookies and similar tracking technologies in accordance with the Belgian Act of 13 June 2005 on Electronic Communications (as amended) and the ePrivacy Directive (Directive 2002/58/EC, as amended by Directive 2009/136/EC).

Strictly necessary cookies, which are essential for the Service to function, may be placed without your consent. For all other cookies (including analytics, functional, and marketing cookies), we will obtain your prior consent through our cookie consent mechanism before placing them on your device.

9. Termination

9.1 Termination by Consono

We may terminate or suspend your account for a valid reason, including but not limited to a breach of these Terms. Where reasonably practicable, we will provide you with prior notice and an explanation of the grounds for termination, unless immediate termination is warranted due to the severity of the breach or legal requirements.

9.2 Termination by You

If you wish to terminate your account, you may do so at any time by contacting us at info@consono.ai or through the account settings functionality in the Service. Upon receipt of your request, we will close your account and delete your personal data in accordance with our Privacy Policy and the GDPR (see Section 11 below).

9.3 Effects of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability, in each case only to the extent permitted by applicable law.

10. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable Belgian and EU law, the Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Consono, its subsidiaries, affiliates, and its licensors do not warrant that:

  • The Service will function uninterrupted, secure, or available at any particular time or location
  • Any errors or defects will be corrected
  • The Service is free of viruses or other harmful components
  • The results of using the Service will meet your requirements

Nothing in this section excludes or limits liability that cannot be excluded or limited under mandatory Belgian or EU law, including liability for wilful misconduct (opzettelijke fout / faute intentionnelle) or gross negligence (grove fout / faute lourde).

11. Your Data Protection Rights

Where we process your personal data, you have rights under the GDPR, including:

  • Right of access (Art. 15 GDPR) — to obtain confirmation as to whether your personal data is being processed and to access such data
  • Right to rectification (Art. 16 GDPR) — to have inaccurate personal data corrected
  • Right to erasure (Art. 17 GDPR) — to request deletion of your personal data under certain circumstances
  • Right to restriction of processing (Art. 18 GDPR) — to restrict the processing of your personal data in certain situations
  • Right to data portability (Art. 20 GDPR) — to receive your personal data in a structured, commonly used, and machine-readable format
  • Right to object (Art. 21 GDPR) — to object to the processing of your personal data based on legitimate interests or for direct marketing
  • Right not to be subject to automated decision-making (Art. 22 GDPR) — including profiling, that produces legal effects concerning you

To exercise any of these rights, please contact us at info@consono.ai. We will respond to your request within one (1) month, which may be extended by a further two (2) months where necessary, taking into account the complexity and number of requests (Art. 12(3) GDPR).

12. Limitation of Liability

To the fullest extent permitted by applicable Belgian and EU law, Consono, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, or consequential damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorised access, use, or alteration of your transmissions or content

Mandatory liability provisions

Nothing in these Terms shall exclude or limit Consono's liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) wilful misconduct (opzettelijke fout / faute intentionnelle); or (iv) any other liability that cannot be excluded or limited under mandatory Belgian or EU law, including the Belgian Civil Code.

Consumer protection

If you are a consumer within the meaning of the Belgian Code of Economic Law (Wetboek van Economisch Recht / Code de droit économique), your statutory rights under mandatory consumer protection legislation remain unaffected by these Terms.

13. Indemnification

To the extent permitted by applicable law (and subject to the consumer protection carve-out below), you agree to hold harmless Consono and its licensors and licensees, and their employees, contractors, agents, officers, and directors, from and against any and all third-party claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorney's fees), resulting from or arising out of:

  • Your use and access of the Service in breach of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your Content caused damage to a third party

Consumer carve-out

If you qualify as a consumer under Belgian law, this indemnification clause shall only apply to the extent that the relevant claim arises from your wilful misconduct or gross negligence. This clause does not require you to indemnify Consono for claims arising from Consono's own acts or omissions.

14. Governing Law and Jurisdiction

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

14.2 Jurisdiction

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Belgium.

Consumer jurisdiction rights: If you are a consumer habitually resident in the European Economic Area, you may also bring proceedings in the courts of the Member State in which you are domiciled, in accordance with Article 18 of Regulation (EU) No 1215/2012 (Brussels I Recast). Nothing in these Terms shall deprive you of the protection afforded by the mandatory provisions of the law of your country of habitual residence.

14.3 Online Dispute Resolution

In accordance with Regulation (EU) No 524/2013, the European Commission provides an Online Dispute Resolution (ODR) platform, which is available at: https://ec.europa.eu/consumers/odr. We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board unless required by applicable law. We encourage you to contact us directly first at info@consono.ai to resolve any concerns.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. Notice may be given by email to the address associated with your account or by a prominent notice on the Service.

Where changes affect the processing of your personal data, we will ensure that appropriate legal bases exist under the GDPR before the changes take effect, and where necessary, we will seek your explicit consent.

If you do not agree to the revised Terms, you may terminate your account in accordance with Section 9.2. Continued use of the Service after the effective date of the revised Terms constitutes acceptance of the new Terms.

16. Miscellaneous

16.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the economic purpose of the invalid provision.

16.2 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Consono regarding the Service and supersede all prior agreements and understandings.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Language

These Terms are drafted in English. In the event of a conflict between the English version and any translation, the English version shall prevail, except where prohibited by applicable law.
